1. Introduction

CloudsSync ("Provider," "We," "Us," or "Our") provides hosting, cloud infrastructure, and related services globally. By accessing or using our services ("Services"), you ("Customer," "User," or "Client") agree to these Terms of Service ("Terms"), which are legally binding.

1.1 Services Covered

Our Services include but are not limited to:

• Shared Hosting (Standard/BDIX-Optimized)
• Premium Hosting (Global/BDIX)
• Cloud VPS (Global/BDIX Network)
• Dedicated Servers (Global/BDIX)
• Domain Registration (gTLDs/ccTLDs: .com, .net, .bd, etc.)
• SSL Certificates (DV, OV, EV)
• Email Hosting & Enterprise Solutions

1.2 Governing Laws

These Terms are supplemented by applicable laws, including:

• Bangladesh ICT Act 2006
• BTCL/BTRC Regulations 2021
• ICANN Policies (for domain registrations)

2. Modifications to Terms

2.1 Updates

• Changes effective immediately upon posting at www.cloudssync.com/terms-of-services.
• Material changes may be notified via email (non-binding).

2.2 User Obligation

• Review Terms monthly. Continued use = acceptance.
• Rejection requires immediate termination (see Section 5).

3. KYC & Identity Verification

3.1 Mandatory for All Users

Valid email, mobile number, and payment authentication.

3.2 Enhanced Verification

Required for:

• BDIX Services (BTRC compliance).
• High-Risk Services: VPS/Dedicated Servers, bulk domains (>5), high bandwidth (>10TB/month).

Documents:

• Individuals: Govt. ID (NID/passport) + utility bill (≤3 months old).
• Businesses: Trade license, VAT/TIN, representative's ID.

3.3 Non-Compliance

48-hour notice → Suspension (no refunds).

4. Financial & Billing Policies

4.1 Payments

• Currencies: USD, BDT, EUR, GBP.
• Auto-Renewal: Enabled by default (disable ≥72h pre-renewal).

5. Service-Specific Terms

5.1 BDIX Services

• Compliance with Bangladesh ICT Act 2006 & BTRC Regulation 2021.
• Bandwidth: BDIX unmetered; international traffic billed separately.

5.2 VPS/Dedicated Servers

• Prohibited: Torrents, crypto mining, DDoS.
• User Responsibilities: OS updates, backups.

5.3 Domain Management

• .bd Domains: Require NID/passport verification.
• Transfers: 60-day lock post-registration.

6. Liability & Disputes

6.1 Limitation of Liability

Not liable for:

Data loss, third-party failures, and force majeure.

6.2 Dispute Resolution

No disputes are granted for any of our services.

7. Enforcement & Penalties

7.1 Violation Consequences

CloudsSync maintains a zero-tolerance policy for abuse or illegal activities. The following offenses will trigger immediate action:

7.2 Investigation Process

• Initial Notice: 24-hour warning for minor violations (e.g., resource overages).
• Evidence Preservation: We may retain logs, emails, or server snapshots for legal proceedings.
• Right to Disclose: May share information with victims (e.g., phishing targets) or law enforcement.

7.3 Appeals Process

Submit a written appeal to legal@cloudssync.com within 14 days of penalty.

Must include:

• Proof of compliance (e.g., removed infringing content).
• Explanation of corrective actions taken.

Outcome: Reinstatement (if justified) or permanent ban.

7.4 Legal Cooperation

We fully comply with:

• Bangladesh Digital Security Act 2018
• BTCL/BTRC Data Retention Policies
• Interpol Cybercrime Requests

Users agree to waive liability for damages resulting from enforcement actions.

7.5 Penalty Escalation

Repeat violations may result in:

• Increased fines (up to $5,000 for enterprises).
• Public disclosure of abuse (e.g., spamhaus listings).
• Civil/criminal charges for severe offenses.

Exclusions:

• No support for custom code/third-party software
• Server migrations billed at $50/hour

9. Affiliate Program Terms

9.1 Program Eligibility

Affiliates must be at least 18 years old and have a legitimate platform for promotion (website, blog, social media, etc.).

9.2 Commission Structure

• One-time Commissions: Budget Hosting (20%), Premium Hosting (20%), Cloud Hosting (15%), Cloud VPS (10%), Dedicated Servers (5%)
• Recurring Commissions: Based on active client count - Slab 1: 1-10 clients (10%), Slab 2: 11-25 clients (15%), Slab 3: 26-50 clients (20%), Slab 4: 51+ clients (25%)

9.3 Payment Terms

• Payments processed monthly on the 15th for the previous month's earnings
• 30-day delay to account for refunds and chargebacks
• Minimum payout threshold: $50 USD
• Cookie duration: 90 days

9.4 Allowed Activities

• Promote on websites, blogs, and social media platforms
• Use in YouTube videos, tutorials, and educational content
• Include in email newsletters (with proper consent)
• Use in paid advertising campaigns (following platform policies)
• Share in relevant online communities

9.5 Prohibited Activities

• Self-referrals or creating fake accounts for referrals
• Spam or unsolicited email marketing
• Misleading, false, or deceptive advertising
• Trademark infringement or brand misrepresentation
• Association with adult, illegal, or inappropriate content
• Use on coupon or deal sites without prior written approval
• Search engine marketing using branded terms without permission

9.6 Account Termination

CloudsSync reserves the right to terminate affiliate accounts for violation of these terms, fraudulent activity, or any behavior deemed harmful to our brand. Pending commissions may be forfeited upon termination for cause.

9.7 Tax Responsibility

Affiliates are responsible for all applicable taxes on their earnings. CloudsSync will provide necessary tax documentation where required by law.

10. Acceptance of Terms

By using CloudsSync, you have read, understood, and unconditionally accept all terms, conditions, policies, and agreements outlined in this Terms of Service (ToS), including:

• Affiliate Program Terms (if applicable)

These documents collectively form a legally binding contract between you and CloudsSync.
